The Board of Directors of British American Tobacco Kenya (BAT Kenya) plc has announced the exit of Company Secretary, Waeni Ngea.
In a public announcement dated November 27, 2025, the Company said Waeni will leave effective on December 31, 2025.
The board appreciated Waeni’s commitment, leading legally, her governance and compliance since October 2023 when she was appointed as the Head of Legal and Compliance, BAT East and Southern Africa markets.
“The Board of Directors of British American Tobacco Kenya plc (BAT Kenya, the Company) announces the resignation of Ms. Waeni Ngea as the Company Secretary of the Company with effect from 31st December 2025,” read part notice.
The company conveyed sincere gratitude to Waeni for her exemplary contribution towards thriving BAT Kenya and wished her the best in future endeavors.
According to the board, Ngea was eloquent in managing legal risks, driving sustainable corporate governance across the business, among other achievements.
“During her tenure, she was instrumental in managing legal risks, driving sustainable corporate governance across the business, and played a crucial role in supporting the Board to deliver on its mandate. She leaves behind a stronger organisation with a solid governance and compliance anchor for its ongoing transformation agenda,” read part of the notice.

Meanwhile, the board announced the appointment of FCS Kathryne Maundu to assume the role of Company Secretary after Waeni’s resignation.
Maundu will start his work on January 1, 2026.
“Pursuant to Waeni’s resignation, the Board is pleased to announce the appointment of FCS Kathryne Maundu as an outsourced Company Secretary of the Company, with effect from 1st January 2026,” the Board declared.
Previously, she served as an outsourced Company Secretary of BAT Kenya and its subsidiary between July 2020 and October 2023.
She is also an experienced Governance and Company Secretarial professional.
Additionally, she has extensive practice supporting Boards of leading corporates in the public and private sector over the last 20 years, specializing in the provision of these services to publicly listed entities.

Professional Qualifications
FCS Maundu holds a Bachelor of Laws Degree (University of Nairobi), a Diploma in Law (Kenya School of Law), and postgraduate qualifications in Corporate and Securities Law and International Business Law (University of London).
In addition, she is a Certified Public Secretary, and particularly a Fellow of the Institute of Certified Secretaries of Kenya, an Accredited Governance Auditor and Advocate of the High Court of Kenya.
