Taarifa Ltd Announces Plan to Acquire 54% Stake in Nation Media Group

Taarifa Ltd has completed the acquisition of a 54.08% indirect stake in Nation Media Group (NMG) after securing regulatory exemptions in Kenya, Tanzania and Uganda.

The company announced the completion in a public notice dated August 31, 2026, following its earlier announcement on March 10, 2026.

According to the notice, Taarifa Ltd acquired 100% of the issued share capital of NPRT Holdings Africa Limited from the Aga Khan Fund for Economic Development S.A.

Through the acquisition, Taarifa indirectly acquired 54.08% of the issued shares in Nation Media Group PLC.

NMG is listed on the Nairobi Securities Exchange (NSE) and cross-listed on the Dar es Salaam Stock Exchange, Uganda Securities Exchange and Rwanda Stock Exchange.

Taarifa Ltd Secures Regulatory Exemptions

Taarifa had applied for exemptions from the requirement to make a mandatory takeover offer for the remaining NMG shares.

The applications were made to three regulators:

  • Capital Markets Authority of Kenya (CMA)
  • Capital Markets and Securities Authority of Tanzania (CMSA)
  • Capital Markets Authority of Uganda (CMA-U)

The notice confirms that all three regulators granted Taarifa the requested exemptions.

Acquisition Completed

Taarifa also confirmed that it had received all other approvals and consents required to complete the transaction.

The company stated,“All other requisite approvals and consents required to complete the Acquisition have been obtained. Accordingly, the Acquisition has been completed.”

Deal Ends Aga Khan’s 66-Year Ownership

The acquisition brings to an end the Aga Khan Fund’s 66-year association with Nation Media Group, which began in 1959. Taarifa Ltd is owned by Tanzanian businessman Rostam Azizi.

Azizi previously pledged to protect NMG’s editorial independence and invest in the media group’s growth.

“We are not going to compromise on the independence of our media company because of advertising,” Azizi said when the acquisition was announced in March.

The new ownership is expected to support further investment in NMG, particularly in digital transformation and regional expansion.

NMG operates media businesses across Kenya, Uganda, Tanzania and Rwanda, with newspapers, television, radio and digital platforms forming part of its operations.
