KMRC Announces Leadership Changes as Board Chair Haron Sirima Retires

The Kenya Mortgage Refinance Company (KMRC) has announced changes to its Board of Directors, including the retirement of Board Chairman Haron Sirima, the resignation of independent Non-Executive Director Susan Maira and the appointment of Bernadette Mutuku to the board.

In a statement dated July 10, KMRC said the changes form part of adjustments to the composition of its board and have been communicated to shareholders, stakeholders, and the general public.

“The Board of Directors of Kenya Mortgage Refinance Company PLC (KMRC) wishes to notify shareholders, stakeholders and the general public of the following changes to the composition of the Board,” read part of the statement.

Haron Sirima Retires as KMRC Board Chairman

According to the company, Haron Sirima retired as a Non-Executive Director representing the National Treasury with effect from June 24, 2026.

Sirima joined the board on July 10, 2019, and served as chairman from the date of his appointment until his retirement.

In addition, KMRC credited him with providing strong leadership and strategic guidance that significantly contributed to the company’s growth and success during his tenure.

“The Board extends its sincere appreciation to Dr. Sirima for his distinguished service, commitment and leadership, and wishes him success in his future endeavours,” the statement read.

The company also announced the resignation of independent Non-Executive Director Susan Maira, effective May 28, 2026.

Maira joined the board on October 8, 2019, and served as a member of the Audit Committee.

She also previously chaired the Credit and Risk Committee, where KMRC said she played a key role in strengthening the company’s governance and risk oversight framework.

The board further thanked her for her professionalism, dedication, and valuable contribution to the institution.

Bernadette Mutuku Appointed Independent Director

At the same time, KMRC announced the appointment of Bernadette Mutuku as an independent Non-Executive Director, effective June 2, 2026, subject to regulatory approval.

According to the company, Mutuku is the immediate former Chief Finance Officer of Centum Real Estate Limited, a subsidiary of Centum Investment Company Plc, and brings more than 30 years of experience in finance, corporate strategy, governance, risk management, and business transformation.

She holds a Bachelor of Science degree in Mathematics from Kenyatta University and is a Certified Public Accountant of Kenya (CPA-K). She has also completed executive leadership and management programmes at Strathmore University and IESE Business School in Spain.

The board welcomed Mutuku to KMRC, expressing confidence that her experience would strengthen the company’s leadership.

“ The Board welcomes Mis. Mutuku and looks forward to her contribution to the Company,” KMRC stated.
