Shri Krishna Overseas PLC Appoints Jacqueline Rotich as Company Secretary

Shri Krishna Overseas PLC has announced the appointment of Jacqueline Rotich as the new Company Secretary, effective June 5, 2026.

In a notice dated June 9, the company stated that the appointment has been made in accordance with the requirements of the Capital Markets Act and the applicable regulatory framework.

“In accordance with the requirements of the Capital Markets Act and the applicable regulations thereunder, the Board of Directors of Shri Krishna Overseas PLC (“the Company”) wishes to notify shareholders and the public of the appointment of Ms. Jacqueline Rotich as the Company Secretary of Shri Krishna Overseas PLC and its subsidiaries with effect from 5 June 2026,” read part of the notice.

Shri Krishna Overseas confirmed that Jacqueline Rotich takes over from Millicent Ngetich, who has resigned from the position.

The Board of Directors acknowledged Ngetich’s contribution during her tenure and expressed appreciation for her dedicated service.

The Board also extended its best wishes to her in her future professional endeavours.

Jacqueline Rotich Named as the New Company Secretary

According to Shri Krishna Overseas, Jacqueline is an accomplished Corporate Governance and Company Secretarial Professional with more than ten years of experience in corporate governance, board administration, regulatory compliance, and strategic corporate services.

Over the years, she has gained extensive experience supporting Boards and Senior Management in the implementation of governance frameworks, statutory compliance, and corporate advisory functions.

Jacqueline Rotich is recognized for her strong competencies in key governance areas, including Board and committee process management, Corporate records and documentation management, Regulatory compliance and legal advisory support, and Stakeholder engagement and communication.

“She is highly skilled in managing Board and Committee processes, corporate records management, stakeholder engagement, and ensuring compliance with legal and regulatory requirements,” read part of the notice.

Additionally, she has been credited with strengthening governance structures, enhancing organizational accountability, and fostering a culture of integrity and high performance within institutions.

Jacqueline Rotich holds a Bachelor of Science degree in Business Management from Moi University.

She is also a certified professional with multiple credentials, including Certified Company Secretary (CS), Certified Human Resource Professional (CHRP), and Certified Public Accountant of Kenya (CPA-K)

Rotich is a member of several professional bodies, including the Institute of Certified Public Accountants of Kenya (ICPAK), the Institute of Certified Secretaries (ICS), and the Institute of Human Resource Management (IHRM).

Millicent Ngetich Profile

Millicent Ngetich has established herself as one of Kenya’s most respected and sought-after company secretaries, having successfully steered corporate governance at six Nairobi Securities Exchange (NSE)- listed companies.

Beyond the NSE-listed companies, she has served as Company Secretary for several other prominent organizations.

Other than that, Millicent is an accomplished corporate lawyer with over 15 years of experience in corporate governance, legal advisory, policy development, and risk management.

Millicent Ngetich currently serves as Company Secretary and Head of Legal at Stabex International Limited, a position she has held since September 2025.

In November 2024, she was appointed as company secretary for Kingdom Bank, a subsidiary of the Co-operative Bank of Kenya.

At the same time, she assumed the position of Company Secretary of Nairobi Business Ventures PLC and its subsidiaries, Sasini PLC, and Shri Krishna Overseas PLC in the same year.
